These general terms for sales, deliveries, repairs and installation apply to contracts between FSA Systems GmbH, Dammstraße 1, 86420 Diedorf, Germany, info@fsa.systems, +49 8238 5079400, and its customers. Conflicting or supplementary customer terms are rejected unless expressly accepted in writing.
Unless stated otherwise, prices are quoted in euros plus applicable VAT. Invoices are due immediately without deduction unless a different payment term has been agreed.
We retain ownership and copyright in drawings, calculations and other documents prepared by us or our suppliers. Disclosure, reproduction or use outside the contractual relationship requires prior written consent.
Statutory German warranty provisions apply subject to the limitations contained in the German version of these terms. Liability is not limited in cases of intent, gross negligence, injury to life, body or health, mandatory product liability or breach of material contractual duties. Liability for a slightly negligent breach of a material duty is limited to foreseeable damage typical of the contract.
Customer data is processed only to the extent necessary to perform the contract and in accordance with the GDPR and applicable German data-protection law.
Where legally permissible, Augsburg, Germany, is the place of performance and jurisdiction.
Delivery dates require timely receipt of all customer information, approvals and agreed payments. Goods remain our property until all outstanding claims have been paid in full. Warranty claims by business customers generally expire one year after delivery where legally permissible.
Binding cost estimates are prepared only on express request and must be designated as binding in writing. The customer must provide safe working conditions, utilities, connections and cooperation required for installation and commissioning. Agreed schedules are extended appropriately in cases of force majeure, supply disruption, regulatory intervention or delays caused by the customer or other contractors.
Payment is due immediately upon acceptance unless otherwise agreed. The customer must inspect and accept completed work; immaterial defects do not justify refusal of acceptance. Defects must be reported without undue delay. Unauthorized repairs or modifications may exclude warranty for the affected work.
